1. Introduction and Acceptance

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Disclaimers. These Disclaimers form part of and supplement the Terms of Service. In the event of any conflict or inconsistency between these Disclaimers and the Terms of Service regarding warranties, liability, allocation of risk, or exclusions, the provision that is most protective in favor of Zoryxon shall control, subject to applicable law and to the extent permitted thereunder. Nothing in these Disclaimers is intended to, or shall be construed to, exclude or limit any liability that cannot lawfully be excluded or limited.

2. General Disclaimer

THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, SMART CONTRACTS, DOCUMENTATION, AND INFORMATION MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE PLATFORM, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZORYXON EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.

Zoryxon does not warrant that the Services will be uninterrupted, timely, secure, free of viruses or other harmful components, or free of errors or defects, or that any errors or defects will be corrected. Some jurisdictions do not allow the exclusion of certain implied warranties, so the foregoing exclusions may not apply to you in their entirety; in such jurisdictions, the exclusions and limitations set forth herein shall apply to the maximum extent permitted by applicable law.

3. Not Legal Advice

Zoryxon provides technical infrastructure. Zoryxon does not provide, and nothing on the Platform, in any documentation, or in any communication from Zoryxon personnel constitutes, legal advice, legal opinion, or legal counsel. No attorney-client relationship is created by your use of the Services, by communications with Zoryxon, or by any content made available through the Platform.

You should consult qualified, licensed legal counsel of your own choosing regarding intellectual property, copyright, trademark, licensing, contracts, data protection, regulatory compliance, and any other legal matters arising from or related to your use of the Services. Technical features of the Platform, including content registration, timestamping, attestation, and on-chain recordkeeping, are not substitutes for legal adjudication of ownership, authorship, or rights.

4. Not Financial, Investment, or Tax Advice

Nothing on or made available through the Platform constitutes financial, investment, securities, brokerage, banking, accounting, or tax advice, and nothing shall be construed as a recommendation, solicitation, or offer to buy, sell, hold, or otherwise transact in any Digital Asset, security, token, or other financial instrument. References to Digital Assets, blockchain networks, on-chain transactions, marketplace activity, pricing, or token mechanics are descriptive of the functionality of the Platform and are not investment, financial, or trading advice.

You are solely responsible for evaluating the merits and risks associated with any transaction you conduct using the Services, and you should consult qualified, independent financial, investment, accounting, and tax professionals before engaging in such transactions. Past performance of any Digital Asset, blockchain network, smart contract, or transaction is not indicative of future results. The value of Digital Assets can fluctuate significantly and may result in total loss.

5. Blockchain and Smart Contract Risks

You acknowledge and accept the inherent risks of blockchain networks, smart contracts, and Digital Assets, including without limitation the risks described in this Section 5.

5.1 Decentralization

Blockchain networks, including without limitation Arbitrum One, Ethereum, and Hedera, are decentralized public networks operated by independent third parties. Such networks are NOT owned, operated, or controlled by Zoryxon, and Zoryxon has no ability to modify, reverse, or censor transactions recorded thereon.

5.2 Smart Contract Risk

Smart contracts may contain coding errors, logic flaws, or undiscovered vulnerabilities, notwithstanding the adoption of industry-standard libraries, internal review, and third-party security audits. Security audits reduce but do not eliminate risk, and no audit can guarantee the absence of defects.

5.3 Transaction Finality

Confirmation and finality of blockchain transactions depend on the consensus mechanism of the underlying network. Chain reorganizations, re-orgs, or short-range forks may temporarily or permanently alter the apparent state of the ledger, and transactions may be delayed, dropped, or reverted prior to finality.

5.4 Gas Fees

Transaction fees, commonly referred to as "gas fees," fluctuate based on real-time network demand and are determined by the underlying blockchain network, not by Zoryxon. Zoryxon does not control, set, or guarantee any particular gas price or transaction cost.

5.5 Network Congestion

Periods of network congestion may delay, prevent, or materially increase the cost of transactions. Zoryxon is not responsible for congestion-related delays, failures, or increased costs.

5.6 Network Outages

Zoryxon is not responsible for the availability, performance, reliability, or uptime of any blockchain network or its validators, sequencers, or node operators. Outages, degradations, or service interruptions on such networks are outside Zoryxon's control.

5.7 Forks and Protocol Changes

Hard forks, soft forks, protocol upgrades, governance decisions, and other changes to the underlying blockchain networks may materially affect the functionality, security, or availability of smart contracts deployed by Zoryxon and of Digital Assets associated with the Services.

6. No Guarantee of Content Authenticity

6.1 Proof Infrastructure

Zoryxon provides cryptographic proof infrastructure, including without limitation blockchain timestamping, content hashing, zero-knowledge proofs, perceptual fingerprinting, and Trust Attestations.

6.2 No Content Verification

Zoryxon does NOT evaluate, verify, endorse, or guarantee the truth, accuracy, legality, originality, ownership, authorship, or authenticity of user-submitted content. Zoryxon does not adjudicate competing claims of ownership, infringement, or authorship.

6.3 Digital Notary Function

Zoryxon functions as a digital notary: it timestamps, hashes, and records cryptographic evidence that specified data existed at a specified time and was presented by a specified wallet. Zoryxon does not and cannot adjudicate the substantive legal significance of that evidence.

6.4 Attestations Are Not Adjudications

The existence of a Trust Attestation, Verification Record, on-chain registration, Vault NFT, License NFT, or any similar artifact does not constitute a determination, representation, or warranty by Zoryxon as to the ownership, authorship, originality, or legality of any underlying content, and should not be relied upon as conclusive proof thereof.

7. OFAC and Sanctions Screening

7.1 Screening Program

Zoryxon conducts sanctions screening as required by applicable law, including screening against the U.S. Department of the Treasury's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals and Blocked Persons List (the "SDN List") and other applicable sanctions, denied party, and export control lists.

7.2 Limitations of Screening

Screening is conducted based on data reasonably available to Zoryxon and its sub-processors at the time of screening. Such screening may not be exhaustive, instantaneous, or complete, and list publication, translation, transliteration, and update cycles may introduce latency or gaps.

7.3 User Responsibility

You remain solely responsible for your own compliance with all applicable laws, including without limitation U.S. and international sanctions, export controls, anti-money-laundering ("AML"), counter-terrorist-financing ("CTF"), know-your-customer ("KYC"), and related obligations.

7.4 Not a Substitute

Zoryxon's screening program is a platform-level control and is not a substitute for your own compliance program, policies, or procedures. Your access to or use of the Services does not constitute certification by Zoryxon that you or your counterparties are in compliance with applicable law.

8. Marketplace Disclaimer

8.1 Neutral Platform

Zoryxon operates the Marketplace as a neutral technical platform that enables buyers and sellers to connect, list, discover, and transact in Digital Assets and licenses.

8.2 Not a Party to Transactions

Zoryxon is NOT a party to any transaction between buyers and sellers conducted through the Marketplace. Zoryxon does not endorse, sponsor, guarantee, authenticate, or independently verify Marketplace listings, sellers, buyers, or the content underlying any listed license or asset.

8.3 Transactions at User Risk

Buyers and sellers transact at their own risk. Zoryxon makes no representation or warranty as to the quality, accuracy, legality, originality, non-infringement, merchantability, or fitness for any particular purpose of any listed content or license.

8.4 Dispute Facilitation

Disputes arising between buyers and sellers, including without limitation disputes regarding content authenticity, license scope, payment, delivery, or performance, are between those parties. Zoryxon may, in its sole discretion and not as a matter of obligation, provide limited dispute facilitation services; any such facilitation shall not be deemed to make Zoryxon a party to the underlying transaction or to create any duty of adjudication.

9. AI Agent Trust System Disclaimer

9.1 Technical Infrastructure

The Agent Trust System provides technical infrastructure for AI agent identity registration, authorization policy enforcement, spending limits, kill-switch controls, and compliance audit logging.

9.2 Not a Compliance Certification

Use of, registration with, or configuration of the Agent Trust System does NOT constitute legal compliance certification under the EU Artificial Intelligence Act, U.S. federal or state executive orders or statutes concerning artificial intelligence, or any other regulatory, supervisory, or standards-setting regime. No regulatory safe harbor, presumption of compliance, or attestation of conformity is provided or implied.

9.3 Organizational Responsibility

Organizations and individual operators remain solely responsible for their own regulatory compliance, risk assessments, conformity assessments, model evaluations, bias testing, human oversight arrangements, and documentation obligations.

9.4 Agent Behavior

Zoryxon does not guarantee that any agent registered, authorized, or bonded through the Agent Trust System will behave as intended, will remain within configured parameters, or will produce accurate, lawful, or non-harmful outputs. Agent behavior is determined by the agent operator, the underlying AI models, and the inputs provided thereto.

10. Third-Party Services and Sub-processors

10.1 Dependencies

The Services integrate with and depend upon third-party providers, including without limitation Arbitrum, Hedera, Alchemy, Stripe, Neon, Vercel, Railway, and other providers identified in our Subprocessor List made available in the Data Processing Agreement.

10.2 No Responsibility

Zoryxon is not responsible for the availability, performance, accuracy, security, or data-handling practices of any third-party service, and the inclusion of a third party in our Subprocessor List or in the Services does not constitute endorsement of that provider.

10.3 Third-Party Terms

Your use of third-party services may be subject to separate terms of service, acceptable use policies, and privacy notices published by those providers. You are responsible for reviewing and complying with such terms.

11. Post-Quantum Cryptography Disclaimer

11.1 PQC Implementation

Zoryxon employs ML-DSA-65 (as specified in FIPS 204) post-quantum digital signatures as a defense-in-depth measure for selected Trust Attestations and on-chain anchors. PQC is used in addition to, and not in lieu of, classical cryptographic primitives where applicable.

11.2 No Cryptographic Guarantee

ML-DSA-65 is based on standards published by the U.S. National Institute of Standards and Technology ("NIST") as of the Last Updated date set forth above. Cryptographic security cannot be guaranteed indefinitely. Advances in classical computing, quantum computing, side-channel analysis, or cryptanalytic research may, at any time, reduce or eliminate the security margins of any deployed primitive.

11.3 Ongoing Maintenance

Zoryxon will, where reasonably feasible and subject to operational constraints, update cryptographic primitives in response to evolving standards, advisories, and best practices; however, Zoryxon makes no commitment as to the timing, scope, or backward-compatibility of any such update.

12. Tax Responsibility

You are solely responsible for determining, reporting, and fulfilling all tax obligations arising from or in connection with your use of the Services, including without limitation income, capital gains, sales, use, value-added, goods-and- services, excise, and withholding taxes, in each applicable jurisdiction. Zoryxon does not provide tax advice and does not undertake to prepare, file, or furnish tax statements, information returns, or other tax reporting documentation on your behalf, except where expressly required by applicable law.

13. Forward-Looking Statements

Statements, descriptions, roadmaps, or other communications concerning planned or future features, capabilities, certifications, audits, network deployments, jurisdictional expansion, or compliance positioning are forward-looking and are not guarantees of future performance, availability, or outcomes. Forward-looking statements are subject to known and unknown risks, uncertainties, changes in law, and other factors that may cause actual results to differ materially. Zoryxon undertakes no obligation to update, revise, or supplement any forward-looking statement, whether as a result of new information, future events, or otherwise, except as required by applicable law.

14. Patents Pending

References to "Patents Pending" on the Platform, in documentation, or in other Zoryxon communications indicate that one or more U.S. patent applications have been filed. Nothing in such references shall be construed as a representation or warranty that any patent will issue, that any claim will be allowed in any form, or that any particular scope of protection will be obtained.

15. Regulatory Disclosures

15.1 No Money Transmission

Zoryxon does not custody fiat currency or Digital Assets in connection with peer-to-peer transactions between users. The Services are non-custodial with respect to both user content and user funds. Nothing herein shall be construed as the provision of money-transmission, money-services, or similar regulated financial services by Zoryxon.

15.2 No Securities Offering

Nothing on the Platform, in the Services, or in any Zoryxon communication constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation with respect to any security, investment contract, or other financial instrument, in any jurisdiction.

16. International Use

The Services are operated from and controlled within the United States. If you access or use the Services from a jurisdiction outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws, including without limitation data-protection, sanctions, export-control, consumer-protection, and tax laws. Access to or use of the Services, or any feature thereof, from any jurisdiction where such access or use is unlawful, prohibited, or restricted is strictly prohibited.

17. No Waiver

No failure or delay by Zoryxon in exercising any right, power, or remedy under these Disclaimers or at law shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof. No waiver of any provision of these Disclaimers shall be effective unless made in writing and signed by an authorized representative of Zoryxon.

18. Severability

If any provision of these Disclaimers is held by a court of competent jurisdiction or other tribunal to be invalid, illegal, or unenforceable in any respect, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if such modification is not possible, shall be severed from these Disclaimers. The remaining provisions shall continue in full force and effect.

19. Governing Law

These Disclaimers shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. The foregoing is subject to (a) mandatory consumer-protection laws of the jurisdiction in which you reside, to the extent such laws may not be waived by contract; (b) the General Data Protection Regulation ((EU) 2016/679) and the United Kingdom General Data Protection Regulation, to the extent applicable to processing of personal data; and (c) other mandatory provisions of applicable federal or state law that may not be displaced by contractual choice of law.

20. Modification

Zoryxon may modify, amend, or supplement these Disclaimers from time to time. When we make changes, we will update the "Last updated" date at the top of this page and, where changes are material, provide additional notice through the Platform or by other reasonable means. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Disclaimers.
