Refund & Cancellation Policy

This Refund & Cancellation Policy (the "Policy") is provided by Zoryxon LLC, an Ohio limited liability company ("Zoryxon," "we," "us," or "our"), and governs refunds, cancellations, downgrades, upgrades, chargebacks, and account closure with respect to subscription Services and Platform Fees made available through the Zoryxon platform. This Policy supplements, and does not replace, the Terms of Service, Marketplace Terms, Privacy Policy, and Disclaimers. In the event of any conflict between this Policy and the Marketplace Terms with respect to refunds for Marketplace Transactions, the Marketplace Terms control.
1. Introduction and Scope
1.1 Application
This Policy applies to all subscription Services purchased from Zoryxon, including the Verify, Creator Pro, and Enterprise tiers, and to Platform Fees charged in connection with Marketplace Transactions and other revenue-generating features of the Services. This Policy also addresses cancellations, downgrades, upgrades, chargebacks, promotional credits, and account closure.
1.2 Relationship to Other Agreements
Refunds for individual Marketplace Transactions are governed by the Marketplace Terms, which supplement this Policy with respect to such Transactions. Privacy and data retention consequences of cancellation or account closure are addressed in the Privacy Policy and, where applicable, the Data Processing Agreement. On-Chain immutability is addressed in the Blockchain & Network Risk Disclosure.
1.3 Capitalized Terms
Capitalized terms used and not otherwise defined in this Policy have the meanings given to them in the Terms of Service or the relevant ancillary policy.
2. Definitions
- "Subscription" means a recurring paid right of access to the Services at one of Zoryxon's subscription tiers (Starter, Verify, Creator Pro, or Enterprise).
- "Billing Cycle" means the recurring period for which a Subscription is paid in advance, typically monthly or annually as selected by the User at purchase.
- "Renewal Date" means the date on which a Subscription automatically renews for a successive Billing Cycle in accordance with the terms of purchase.
- "Cancellation" means the User's election to terminate automatic renewal of a Subscription, effective at the end of the then-current Billing Cycle.
- "Downgrade" means the User's election to change the Subscription to a lower-priced tier.
- "Upgrade" means the User's election to change the Subscription to a higher-priced tier.
- "Platform Fee" means the fee charged by Zoryxon on each completed Marketplace Transaction, as set forth in the Marketplace Terms.
- "Transaction Fee" has the meaning given in the Marketplace Terms and is used interchangeably with Platform Fee.
- "Refund" means the return of all or a portion of amounts previously paid by the User to Zoryxon, processed via the original payment method.
- "Credit" means an amount applied to the User's Zoryxon account that may be used against future fees but that has no cash value and is non-transferable.
- "Pro-Rata" means calculated proportionally to the unused portion of the relevant Billing Cycle, computed on a daily basis.
- "Marketplace Transaction" has the meaning given in the Marketplace Terms.
- "Gas Fee" has the meaning given in the Blockchain & Network Risk Disclosure.
3. Subscription Cancellation
3.1 How to Cancel
Users may cancel a Subscription at any time through the User's account dashboard or by contacting billing@zoryxon.com. Cancellation requests are processed promptly upon receipt and confirmed by email.
3.2 Effective Date
Cancellation takes effect at the end of the then-current Billing Cycle. The User retains access to the paid features of the cancelled tier until the end of the period for which the User has already paid. Automatic renewal is disabled upon Cancellation.
3.3 No Pro-Rata Refund Upon Cancellation
Except as required by applicable mandatory consumer protection law (see Section 15), no partial or Pro-Rata Refund is issued for unused portions of a Billing Cycle following Cancellation.
3.4 Effect of Cancellation
Upon Cancellation taking effect:
- 3.4.1 the User's account reverts to the Starter (Free) tier, subject to its then-current feature set and limits;
- 3.4.2 existing Vaults and On-Chain Records remain accessible, with features that require a paid tier transitioned to read-only or restricted modes;
- 3.4.3 active Marketplace Listings are deactivated; Licenses previously granted to Buyers through completed Marketplace Transactions survive Cancellation in accordance with the Marketplace Terms;
- 3.4.4 API access is reduced to the Starter (Free) tier's rate limits and feature set;
- 3.4.5 AI Agent Trust System configurations recorded On-Chain remain in place; active management functions of the Agent Trust System require a qualifying Subscription for continued use; and
- 3.4.6 outstanding obligations accrued prior to Cancellation, including Platform Fees, taxes, and amounts subject to Disputed Transactions, remain payable.
3.5 Enterprise Cancellations
Cancellation of Enterprise tier Subscriptions is governed by the applicable Enterprise order form, master subscription agreement, or statement of work. In the event of conflict between this Policy and an Enterprise agreement, the Enterprise agreement controls with respect to the Enterprise Subscription.
4. Subscription Downgrades
4.1 Effective Date
A Downgrade may be elected at any time and takes effect at the start of the next Billing Cycle.
4.2 No Refund of Differential
No Refund is issued for the difference in price between the current tier and the downgraded tier during the current Billing Cycle. The User retains access to the higher tier through the end of the current Billing Cycle.
4.3 Effect on Features
Features exclusive to the higher tier become unavailable upon Downgrade. Data, configurations, and records created using higher-tier features are preserved but may transition to read-only or restricted access. Re-Upgrade restores the relevant features prospectively.
5. Subscription Upgrades
5.1 Immediate Effect
An Upgrade takes effect immediately upon successful payment of the prorated upgrade fee.
5.2 Pro-Rata Charge
The fee for the upgraded tier is Pro-Rata charged for the remainder of the current Billing Cycle, computed from the date of Upgrade to the next Renewal Date. Subsequent Billing Cycles are charged at the standard rate of the upgraded tier unless modified by promotional pricing.
6. Refund Eligibility — Subscriptions
6.1 14-Day First-Time Subscriber Window
Zoryxon will issue a Refund of the most recent Subscription payment if BOTH of the following are satisfied:
- 6.1.1 the User submits a Refund request within fourteen (14) calendar days of the User's initial Subscription purchase (this window applies only to first-time subscribers and does not reset upon Upgrade, Downgrade, or renewal); AND
- 6.1.2 the User has not executed any On-Chain Transaction during the current Billing Cycle.
- 6.1.3 the requested Refund is for the most recent Subscription payment only.
6.2 Refunds Not Available
Refunds are not available for, without limitation:
- 6.2.1 renewal payments (the 14-day window in Section 6.1 applies only to the User's initial purchase);
- 6.2.2 Subscriptions during which the User has executed any On-Chain Transaction, because Blockchain writes are irreversible and platform resources have been permanently consumed in connection with such Transactions;
- 6.2.3 Subscriptions purchased more than fourteen (14) days before the Refund request;
- 6.2.4 Subscriptions terminated by Zoryxon for cause, including breach of the Terms of Service or the Acceptable Use Policy; and
- 6.2.5 amounts attributable to taxes that have been remitted to a taxing authority and are not refundable to Zoryxon.
6.3 Service-Level Credit for Sustained Outage
Where the Services are materially unavailable or non-functional for a sustained period, defined as more than seventy-two (72) consecutive hours of downtime affecting paid features and excluding scheduled maintenance announced in advance through the developer documentation, status page, or in-product notice, affected Users may request a Pro-Rata Credit for the duration of the qualifying downtime. Such Credit is applied to the next Billing Cycle and is not issued as a cash Refund. Service-Level Credit is the User's sole and exclusive remedy for downtime, except where a separately executed service level agreement provides otherwise.
7. Refund Eligibility — Platform and Transaction Fees
7.1 Platform Fees
Platform Fees on completed Marketplace Transactions are non-refundable once the associated On-Chain Record has been written. Refunds for Marketplace Transactions, where eligible, are governed by Section 10 of the Marketplace Terms.
7.2 Platform Fee on Refunded Marketplace Transactions
Where a Marketplace Transaction is refunded pursuant to the Marketplace Terms, the Platform Fee may or may not be refunded at Zoryxon's discretion, as described in the Marketplace Terms. Where Zoryxon elects to refund the Platform Fee, that refund will be processed in accordance with Section 8 of this Policy.
7.3 Gas Fees and Network Costs
Gas Fees and Blockchain network costs are non-refundable under all circumstances. Such fees are consumed by independent third-party Blockchain networks at the time of Transaction submission and cannot be recovered by Zoryxon.
8. Refund Process
8.1 How to Submit a Request
Refund requests must be submitted by email to billing@zoryxon.com or through the Refund request form available in the User's account dashboard.
8.2 Required Information
Refund requests must include, at a minimum:
- 8.2.1 the User's account email address;
- 8.2.2 the date and amount of the charge for which a Refund is requested;
- 8.2.3 the original payment method used; and
- 8.2.4 a clear, factual statement of the basis for the Refund request, with reference to the provision of this Policy under which the request is made.
8.3 Review Timeframe
Zoryxon shall review and respond to Refund requests within ten (10) business days of receipt of a complete request. Where additional information is required, Zoryxon will promptly request it from the User; the review period may be extended for the time reasonably necessary to obtain such information.
8.4 Method of Refund
Approved Refunds are processed via the original payment method through Zoryxon's third-party payment processor (currently Stripe, Inc.). Refunds typically appear in the User's account within five (5) to ten (10) business days, depending on the User's financial institution's processing time.
8.5 Right to Deny
Zoryxon reserves the right to deny Refund requests that do not satisfy the eligibility criteria set forth in this Policy. Denial determinations shall include a brief written explanation. Nothing in this Section 8.5 limits any non-waivable consumer protection rights described in Section 15.
9. Chargebacks
9.1 Pre-Chargeback Resolution
Users are encouraged to contact Zoryxon at billing@zoryxon.com before initiating a chargeback or payment dispute with the User's payment provider. Zoryxon shall make commercially reasonable efforts to resolve billing disputes directly.
9.2 Effect of Chargeback Without Prior Resolution
Initiation of a chargeback without first attempting direct resolution with Zoryxon may result in suspension of the User's account pending resolution of the chargeback, and may result in additional administrative fees as permitted by the applicable payment network rules and applicable law.
9.3 Right to Dispute
Zoryxon reserves the right to dispute chargebacks and payment reversals and to provide evidence to payment processors, card networks, and issuing institutions in accordance with applicable payment network rules and applicable law.
9.4 Set-Off
Where a chargeback results in financial loss to Zoryxon, Zoryxon may set off the loss against amounts otherwise payable by Zoryxon to the User, including Net Proceeds from Marketplace Transactions, in accordance with the Marketplace Terms.
10. Free Tier
The Starter (Free) tier carries no associated Subscription fees, and accordingly the Refund provisions of this Policy do not apply to the Starter tier. Users on the Starter tier may close their account at any time in accordance with Section 11.
11. Account Closure
11.1 How to Request Closure
Users may request full closure of their Zoryxon account by contacting legal@zoryxon.com from the email address associated with the account, or through any in-product account closure flow that Zoryxon may make available.
11.2 Data Retention and Deletion
Account closure triggers the data retention and deletion provisions of the Privacy Policy and, where applicable, the Data Processing Agreement.
11.3 On-Chain Records
On-Chain Records (including content hashes, Trust Attestations, Agent identities, audit logs, authorization records, and Asset Shield configurations) are permanent and cannot be deleted, modified, or revoked from the underlying Blockchain network regardless of account status. The User acknowledges this consequence as a condition of having engaged in On-Chain activity through the Services.
11.4 Outstanding Obligations
Account closure shall not be processed until any outstanding fees, Platform Fees, taxes, chargeback losses, or other monetary obligations of the User to Zoryxon have been satisfied or, in Zoryxon's reasonable discretion, secured.
12. Promotional Pricing and Credits
12.1 Offer-Specific Terms
Promotional pricing, discounts, and Credits are subject to the terms and conditions specified by Zoryxon at the time of the offer, which may include eligibility requirements, expiration dates, usage limits, and exclusions.
12.2 No Cash Value
Promotional Credits have no cash value, are non-transferable, and may not be redeemed for cash or applied retroactively to prior charges.
12.3 Refunds at Amount Paid
Where a Subscription was purchased at promotional pricing, any Refund issued under this Policy shall be calculated based on the amount actually paid by the User and not on the standard list price.
13. Currency and Taxes
13.1 Currency
All Refunds are issued in United States dollars (USD), regardless of the currency in which the User's payment instrument was denominated.
13.2 Taxes
Taxes that were collected at the time of purchase and that have not been remitted to a taxing authority will be refunded proportionally to the Refunded Subscription amount where applicable. Taxes that have been remitted to a taxing authority and are not recoverable by Zoryxon shall not be refunded; in such cases, the User may be entitled to seek a refund directly from the relevant taxing authority and is solely responsible for doing so.
13.3 Conversion and Bank Fees
Zoryxon is not responsible for currency conversion fees, foreign transaction fees, wire transfer fees, or other charges imposed by the User's financial institution in connection with the processing of a Refund.
14. Modifications to This Policy
Zoryxon may modify this Policy from time to time. Zoryxon shall provide notice of material changes not less than thirty (30) days in advance of the effective date by means of in-product notice, email to the address on file, or update of the "Last Updated" date with conspicuous notice on the Services. Modifications shall not apply retroactively to Refund requests already submitted before the effective date.
15. Consumer Protection Rights
15.1 Non-Waivable Statutory Rights
Nothing in this Policy limits, excludes, or restricts any statutory consumer protection right that cannot be waived under the law applicable to the User. Where mandatory consumer protection law provides greater Refund or cancellation rights than this Policy, those mandatory rights prevail to the extent of any inconsistency.
15.2 EU/EEA Right of Withdrawal
Consumers in the European Economic Area, the United Kingdom, or other jurisdictions implementing the Consumer Rights Directive (Directive 2011/83/EU) or equivalent legislation may be entitled to a fourteen (14) day right of withdrawal for online purchases of digital services. Zoryxon honors such rights to the extent applicable. Where the User expressly requests immediate provision of the Services and acknowledges the loss of the right of withdrawal upon full performance, the right of withdrawal may be extinguished in accordance with applicable law.
15.3 California, Nevada, and Other U.S. State Rights
Consumers in California, Nevada, and other U.S. states with applicable consumer protection statutes retain all rights available to them under such statutes, notwithstanding any other provision of this Policy.
16. Governing Law
This Policy is governed by, and shall be construed in accordance with, the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles, except where mandatory consumer protection laws of the User's jurisdiction require otherwise. Disputes arising out of or relating to this Policy shall be resolved in accordance with the dispute resolution provisions of the Terms of Service.
17. Severability
If any provision of this Policy is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
